1. AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and TOTEM Group, Inc. 11. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution, the parties agree to attempt to negotiate a Dispute informally for at least thirty (30) days before initiating arbitration.

Binding Arbitration

If the parties are unable to resolve a Dispute through informal negotiations, the Dispute will be resolved by binding arbitration under AAA rules.

12. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS BE LIABLE FOR ANY DIRECT OR INDIRECT DAMAGES ARISING FROM YOUR USE OF THE SITE.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless from any claims due to your Contributions, use of the Site, or breach of these Terms.

14. USER DATA

We will maintain certain data that you transmit to the Site. You are solely responsible for all data you transmit using the Site.

15. ELECTRONIC COMMUNICATIONS

You consent to receive electronic communications from us.

16. MISCELLANEOUS

These Terms of Use constitute the entire agreement between you and us. If any provision is found to be unlawful, the remaining provisions will remain in effect.
